Commercial Terms for Reproduction
These commercial terms for reproduction (the “Terms”) are incorporated into, and made a part of the terms of use for this Site (the “Agreement”). Unless indicated otherwise, the defined terms used in these Terms are those in the Agreement.
These Terms apply to the use of those proprietary materials of iSi found on the Site or accessed through it that are indicated as having been made available to “Commercial Users.” “Commercial Users” are distributors, resellers, retailers and food-services providers utilizing iSi North America of iSi North America products and services. If you are not a Commercial User, please exit these Terms.
If you are a Commercial User, you may do the following, subject at all times to the Agreement and the right of iSi North America to revoke any right granted under these Terms, for any reason:
1. You may download and incorporate into your catalogue, price list, store display or commercial website the images of iSi North America products and descriptive text of those products and iSi North America services. However, no such text that, by its character, would reasonably be seen as directed toward commercial enterprises may be used in any such materials directed toward consumers.
2. You may only use the iSi North America images and text in a manner that clearly identifies the applicable products and services as products and services of iSi and not as products or services of any competitor of iSi or any other party.
No such images or text may be altered or modified without the prior, express written permission of iSi North America nor may they be utilized in any form or fashion that would cast the products or services of iSi North America in an unfavorable light or provide an express or implied unfavorable comparison as to competing products or services.
Symbols denoting trademark and service mark ownership (®, TM and SM) may not be altered or removed from any such images or text.
Nothing contained in these Terms shall be deemed an alteration or modification of any existing agreement or arrangement with you, including, without limitation, any distribution agreement or Minimum Advertised Price (MAP) Policy agreement or arrangement. The limited license granted under these Terms is non-exclusive. All rights under these Terms shall automatically and immediately terminate should you no longer be a Commercial User at any time. Upon termination or expiration of these Terms for any reason with respect to you, you must immediately destroy all remaining copies of materials containing iSi North America images or text, take down all Internet pages containing them and delete all electronic files utilizing or containing them.
iSi North America may, at any time and without notice, modify, update or otherwise change these Terms. You agree that you will be deemed to have been apprised of, and to have been bound by, those changes immediately upon the posting of them on the Site. Accordingly, iSi North America encourages you to review these Terms on the Site from time to time.
These Terms were last modified December 15, 2004. Please check back periodically for updates and changes. Please also note that iSi may later require (although iSi North America is not obliged so to require) you to reaffirm your agreement to the Terms by subsequent action, such as clicking on an “I agree” button.
